Terms of Service

These Terms of Service ("Terms") are an agreement between you and 5637 Christiana LLC ("Landlord's Desk", "we", "us") and govern your use of landlordsdesk.com and the Landlord's Desk service. By creating an account, joining the waitlist or using the service, you agree to these Terms and to our Privacy Policy.

1. The service

Landlord's Desk is software that helps landlords and property managers manage rentals, including rent ledgers, online payments, leases, applications, maintenance, documents, messages and AI-assisted features. We may change, add or remove features over time. Features described as "on the roadmap" are plans, not commitments, and have no guaranteed release date.

2. Accounts

• You must be at least 18 and able to form a binding contract, and you must use the service for business purposes.
• You must give accurate information and keep it up to date.
• You are responsible for your login credentials, for everything that happens in your account, and for the team members you invite and the roles you give them.

3. Your responsibilities as a landlord or property manager

• You are responsible for complying with all laws that apply to you and your properties, including fair housing, landlord-tenant, consumer protection, privacy, debt collection and communications laws.
• You make all decisions about your rentals, including screening criteria, applicant approvals and declines, rent amounts, late fees, notices, deposits and renewals. Landlord's Desk provides tools; it does not make these decisions for you.
• You are responsible for having the right to add tenants', applicants' and vendors' information to Landlord's Desk and to contact them, including obtaining any consent required before text messages are sent.
• You are responsible for the accuracy of the records and amounts you enter or approve.

4. Payments

• Online rent payments are processed by Stripe. To receive payments you must agree to Stripe's terms, including the Stripe Connected Account Agreement, and Stripe may verify your identity and business.
• Tenants are not charged a Landlord's Desk fee to pay by bank transfer. Card payments may carry a processing fee, which is shown to the tenant before they pay.
• Payout timing, reversals, disputes and chargebacks are governed by Stripe's terms. You are responsible for disputes and chargebacks on payments made to you.

5. Subscription fees

• Paid plans are billed in advance on a recurring basis at the price shown when you subscribe. Prices are shown when you subscribe, and taxes may apply.
• Free trial periods and founding-member discounts apply as described in the offer you accepted. We'll tell you the exact price before you are charged.
• You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are not refundable.
• We may change prices with at least 30 days' notice before the change applies to you.

6. AI features

AI features prepare suggestions, drafts and extracted information for you to review. AI output can be incomplete or wrong, so review it before relying on it. AI in Landlord's Desk does not move money, change leases or make decisions about applicants, and you remain responsible for actions you approve, including actions you allow to run automatically under rules and spending limits you set.

7. No legal, tax or financial advice

Landlord's Desk is not a law firm, accountant or financial adviser. Templates, reminders, criteria tools, reports and any compliance alerts are provided for convenience and are not legal, tax or financial advice. Laws vary by location; consult a qualified professional about your situation.

8. Acceptable use

You agree not to:

• use the service to discriminate unlawfully, harass anyone, or violate anyone's rights;
• send spam or messages without the required consent;
• upload malicious code, or try to access accounts or data that aren't yours;
• interfere with the service, or reverse-engineer it except where the law allows;
• use the service for any unlawful purpose.

9. Your data

You own the data you put into Landlord's Desk. You give us permission to host, process and display it only as needed to provide, secure and improve the service and as described in our Privacy Policy. You can export your data (for example, as CSV files) while your account is active.

10. Third-party services

The service works with third-party services such as Stripe, DocuSign and email and text-message providers. Their own terms apply to your use of them, and we are not responsible for them.

11. Our intellectual property

We own the Landlord's Desk software, brand and content. These Terms don't give you any rights to them except the right to use the service as allowed here. If you send us feedback, we may use it without obligation to you.

12. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise the service will be uninterrupted or error-free.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim arose.

14. Indemnity

You agree to defend and indemnify us against claims arising from your use of the service, your rentals, your decisions about tenants and applicants, your messages, or your violation of these Terms or the law.

15. Suspension and termination

You may close your account at any time. We may suspend or end access if you breach these Terms, if required by law, or to protect the service or its users. Sections that by their nature should survive termination will survive.

16. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Cook County, Illinois, and both parties consent to their jurisdiction.

17. Changes to these Terms

We may update these Terms. If a change is significant, we'll give you notice before it takes effect. Continuing to use the service after that means you accept the updated Terms.
